Company formation and company law

Personal advice. Careful preparation.

From forming your company to making changes: we tailor advice, deeds and the required documents to your business plans.

We assist with the formation of your AG or GmbH and prepare the articles of association, formation documents and public deed of incorporation. We coordinate the commercial register application with the necessary supporting documents; the commercial register office decides on registration.

We also assist with amendments to articles of association, capital measures and dissolution resolutions requiring notarisation. We establish the specific procedure and supporting evidence required in light of your company and the proposed transaction.

A sound foundation for your company

When forming an AG or GmbH, we clarify the company name, registered office, purpose, capital and organisation with you. We discuss the articles of association and prepare the necessary incorporation declarations. The method of contributing capital and any special formation transactions determine which additional evidence is required.

Implement resolutions and changes carefully

Depending on the transaction, amendments to articles of association, capital measures or dissolution resolutions require public notarisation. We review the existing articles, the authority of the company’s governing bodies and the resolution documents. Notarisation replaces neither a necessary shareholder resolution nor examination by the commercial register office.

Our procedure

  1. Clarify the plan: Discuss the legal form, objectives and participants.
  2. Prepare documents: Review articles of association, resolutions and supporting evidence.
  3. Public notarisation: Execute declarations and resolutions in the required form.
  4. Commercial register application: Submit the documents; the office examines the registration.

Frequently asked questions about notarisation

Find practical guidance for your situation, grouped by notarial service. The specific requirements depend on your transaction; we clarify documents, attendance and costs with you before the appointment.

For founders and businesses

What should we prepare for the notarisation of an AG or GmbH formation?

We need details of the founders, company name, registered office, purpose, capital and organisation, together with valid identification. We prepare the articles of association and formation declarations with you. Capital evidence and other documents depend on the type of formation; we provide a document checklist tailored to your plans before the appointment.

Does our company legally exist immediately after the notarial appointment?

Notarisation completes an important formation step. However, an AG or GmbH acquires legal personality only upon registration in the commercial register. We coordinate the application and supporting documents with you. The commercial register office decides on registration; we cannot guarantee a registration date.

Do we need a notary for every change within our company?

Not every operational or organisational change requires notarisation. Amendments to the articles and certain capital or dissolution resolutions may require it. Send us the current articles and describe the proposed change. We review the necessary resolutions, formal requirements and registration documents.
