The 7 steps to setting up your own business in Switzerland

Becoming self-employed can be exciting but challenging. Many hurdles lie between the initial idea and a successful business concept. With the right preparation and strong partners, you can tackle them. This article explores seven steps in setting up your own business, from developing a convincing idea to implementing your strategy.

1. An innovative idea

A convincing business idea is the foundation of a successful start-up. It may be entirely innovative or implement an existing idea in a new way. Here you can find further information on developing a sound strategy.

2. Choosing the right legal form

Choosing the right legal form depends on factors such as the number of people involved, required starting capital, desired liability structure (personal liability or liability limited to the company) and public image (for example, an AG may be perceived as more established than a GmbH). We can advise on the form best suited to you.

3. Preparing documents and implementing the formation

Formation begins with preparing the required documents (articles of association, public deed, commercial register application, etc.), depending on the legal form chosen in step 2. We recommend having a lawyer prepare or review them. A shareholders' or members' agreement should also be considered at this stage so that it applies from the outset.

4. Capital deposit and confirmation

For an AG or GmbH, confirmation of deposited capital is required. Deposit the capital with a Swiss bank, which issues the certificate. Our strong contacts with Swiss banks can enable the account to be opened within a few hours in urgent cases.

5. Notarial recording of formation documents

For an AG or GmbH to be entered in the commercial register, the formation documents and capital deposit confirmation must be handled through the notarial formation process. The documents are then submitted to the competent commercial register office for registration.

6. Commercial register entry and extract

The commercial register office prepares the entry for your new company using the formation documents. These must be error-free and meet the relevant cantonal office's requirements. Incorrect documents are returned for correction, potentially causing additional costs and delays.

7. Starting your entrepreneurial journey

You have completed the formation! Now it is time to implement your business plan and strategy. Keep track of your finances. Running a business is an art, but the right partners can help keep it on course after formation too.
