7 steps to forming a company limited by shares in Switzerland

Forming a company limited by shares (AG) is an exciting way to establish your own Swiss business. As one of the most common legal forms, it offers benefits such as clear limited liability and raising capital through selling shares. But what is the actual route to forming an AG? This article presents the steps to consider when forming a company limited by shares in Switzerland.

Step 1: The idea and business concept

Every successful formation begins with a convincing business idea. Take time to develop an innovative and viable idea. Prepare a detailed business concept describing your objectives, planned market strategy, growth potential and other relevant aspects.

Step 2: Choosing the legal form

Choosing the right legal form is decisive. An AG requires at least one founder and minimum capital. Consider whether an AG suits your business and the advantages and disadvantages involved.

Step 3: Drafting articles and notarisation

Prepare your AG's articles of association. They include information on its name, registered office, purpose, share capital, administration and organisation. The articles must be notarised.

Step 4: Capital payment and bank confirmation

To proceed with formation, pay the specified share capital. Open a bank account in the AG's name and deposit the capital. The bank issues confirmation of capital payment needed for the next steps.

Step 5: Application to the commercial register

Now apply to register your AG in the commercial register. Submit the required documents, including articles, confirmation of capital payment and formation report, to the commercial register office. Ensure all documents meet its requirements.

Step 6: Commercial register entry

Once the commercial register office has reviewed and accepted the documents, your AG is entered in the register. You receive an extract confirming its existence.

Step 7: Post-formation measures

After successful formation, several follow-up steps remain, such as preparing organisational regulations, appointing the board, opening a business account and fulfilling tax obligations.

Forming an AG requires careful planning and compliance with legal requirements. With the right steps and professional support, however, it is possible to build a successful Swiss AG. Consider these steps and seek support from one of our experienced lawyers if needed for a smooth formation process.
